Electronic Arts has finalized its $55 billion sale to a consortium led by Saudi Arabia's Public Investment Fund, resulting in the company going private and its stock being delisted from NASDAQ.

The transaction, initially announced in September, grants PIF a nearly 94% stake, with Silver Lake Partners holding 5.5% and Affinity Partners, founded by Jared Kushner, holding 1.1%. This is the largest leveraged buyout in history.

EA CEO Andrew Wilson said the company is entering the next chapter "from a position of strength with partners who share our vision and ambition."

Who Owns EA After the Take-Private Sale

Three parties participated in the private sale. The Saudi Arabia Public Investment Fund holds a majority stake of nearly 94%, according to the Wall Street Journal. This means Saudi Arabia effectively owns EA.

Silver Lake Partners, a technology investment firm, owns 5.5%. Affinity Partners, founded by Jared Kushner, holds 1.1%. Affinity Partners is under investigation by the House Judiciary Committee for potential conflicts of interest related to Kushner's tenure as Special Envoy for Peace in the Middle East.

In a press release after the sale closed, Wilson wrote: "We're entering this next chapter from a position of strength with partners who share our vision and ambition. Together, we'll invest boldly, accelerate innovation, and build the next generation of games and experiences for the hundreds of millions of players and fans who inspire us every day."

EA's established franchises are unlikely to change significantly in the near term. Ongoing series such as Madden and FC are expected to continue as usual, and major live-service titles like Apex Legends are likely to remain largely unchanged.

Other projects face greater uncertainty. Studios such as BioWare and Maxis have less certain futures. Maxis, best known for The Sims, received significant community backlash when the deal was announced last year. Maxis's longstanding representation of LGBTQ+ communities may not align with the values of EA's new owners, which could impact the future of its projects.

What EA’s Private Ownership Means for Games and Jobs

Now that EA is private, shareholder calls will no longer be held, making it more difficult for external parties to monitor company developments.

According to reports from Dot Esports, significant layoffs are likely. According to the Financial Times, the three buyers are relying on AI to reduce costs, which remains a contentious issue in video game development.

EA and its new owners have not announced specific plans for individual studios, franchises, or staffing following the sale. The scale and timing of any layoffs remain unconfirmed, and the extent to which the new owners will use AI to reduce development costs has not been detailed beyond the Financial Times report.

The future direction of studios such as BioWare and Maxis remains unclear now that the company is private and shareholder disclosures have ended.
